Terms of Service

Agreement

These Terms of Service (“Terms”) are a binding agreement between you and PluralityWorks LLC (“Threadminder,” “we,” “us”), a Wisconsin limited liability company. By creating an account or using Threadminder, you agree to these Terms. If you do not agree, do not use the service.

What Threadminder is

Threadminder is a hosted service that stores project context you provide — projects, statuses, decisions, next actions, notes, and pinned documents — and makes that context available to AI tools you connect through the MCP protocol or other supported integrations.

Your account

You agree that:

  • You are at least 16 years old (or the age of majority where you live).
  • The information you provide at signup is accurate and you will keep it current.
  • You will keep your password and any API credentials confidential.
  • You are responsible for all activity that occurs under your account.

You may not share your account or let anyone else use it without our written permission. If you suspect unauthorized access, email hello@threadminder.ai immediately.

Subscriptions, payment, and trials

  • Threadminder offers paid subscriptions billed in advance on a recurring basis. Current pricing is shown on our website and within the dashboard.
  • A free trial may be offered. At the end of the trial your subscription continues at the selected rate unless you cancel before the trial ends.
  • All charges are processed by Stripe. By subscribing, you authorize us to charge your designated payment method on the billing schedule.
  • Prices may change. We will give at least 30 days’ notice before any price increase affects your subscription. Continued use after the notice period means you accept the new price.
  • You can cancel at any time from your account. Cancellation stops future billing; you keep access until the end of the current billing period.

Refunds

We do not offer prorated refunds for partial billing periods. If you believe you have been charged in error, contact us within 30 days of the charge and we will review the request in good faith.

Your data

You retain ownership of the data you put into Threadminder. You grant Threadminder a limited, non-exclusive license to host, process, transmit, and display that data solely to operate the service for you.

You are responsible for the legality and accuracy of what you store. Do not store data you do not have the right to store.

Acceptable use

You agree not to:

  • Use the service for any illegal purpose or in violation of any law.
  • Store unlawful, infringing, harassing, or harmful content.
  • Attempt to break, probe, reverse-engineer, or interfere with the service.
  • Scrape, resell, or share access to the service without our written permission.
  • Impersonate another person or misrepresent your identity.
  • Use the service to harm others or circumvent any security mechanism.

We may suspend or terminate accounts that violate these rules.

Third-party services

Threadminder integrates with third-party AI platforms (such as Claude, ChatGPT, and Gemini) and depends on third-party infrastructure providers (such as Stripe, Supabase, Fly.io, and Cloudflare). We do not control those services and are not responsible for their availability, behavior, or terms. Your use of any third-party service is subject to that provider’s own terms and policies.

Intellectual property

Threadminder’s software, design, brand, and documentation are owned by PluralityWorks LLC and protected by applicable intellectual property laws. Nothing in these Terms transfers ownership to you. You may use the service consistent with these Terms — nothing more.

Service changes and availability

We may change, improve, or discontinue features at any time. We aim for high availability but do not promise the service will be uninterrupted or error-free. Scheduled maintenance and unscheduled outages will happen from time to time.

Beta features

Some features may be labeled beta, preview, or experimental. They are provided “as is” without warranty, may change without notice, and may be removed from the service at any time.

Suspension and termination

We may suspend or terminate your account if you violate these Terms, fail to pay, abuse the service, or if we are required to by law. We will give notice where reasonable.

You may close your account at any time from the dashboard or by emailing hello@threadminder.ai. On closure, we will delete your data as described in our Privacy Policy.

Disclaimers

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE.

THREADMINDER HELPS ORGANIZE YOUR PROJECT CONTEXT — IT DOES NOT REPLACE YOUR OWN JUDGMENT. AI RESPONSES THAT INCORPORATE THREADMINDER CONTEXT CAN BE INACCURATE, INCOMPLETE, OR OUT OF DATE. YOU ARE RESPONSIBLE FOR VERIFYING ANYTHING IMPORTANT BEFORE RELYING ON IT.

Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY LAW, PLURALITYWORKS LLC AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING FROM OR RELATED TO YOUR USE OF THE SERVICE.

OUR TOTAL LIABILITY FOR ANY CLAIM ARISING FROM THESE TERMS OR THE SERVICE WILL NOT EXCEED THE GREATER OF (a) THE AMOUNT YOU PAID US IN THE 12 MONTHS BEFORE THE CLAIM AROSE, OR (b) ONE HUNDRED U.S. DOLLARS ($100).

Indemnification

You agree to indemnify and hold PluralityWorks LLC harmless from any claims, losses, liabilities, damages, costs, or expenses (including reasonable attorney fees) arising from your use of the service, your violation of these Terms, or your violation of any right of a third party.

Governing law and disputes

These Terms are governed by the laws of the State of Wisconsin, USA, without regard to its conflict-of-law rules. Any dispute arising from or relating to these Terms or the service will be resolved exclusively in the state or federal courts located in Wisconsin, and you consent to that jurisdiction and venue.

Changes to these Terms

We may update these Terms from time to time. Material changes will be communicated by email to account holders or by notice within the service. Continued use after changes take effect means you accept the updated Terms.
